Over the last couple of months, staff has been working and receiving quotes on work that needs to be done. This Proposal/Contract, together with all incorporated exhibits, scope documents, clarifications, exclusions, and approved changes, constitutes the entire agreement between the parties. 2. MATERIAL AVAILABILITY AND SUBSTITUTIONS: Materials and equipment may become unavailable, delayed, discontinued, allocated, or subject to revised lead times for reasons beyond Contractor’s control. Contractor shall be entitled to a reasonable extension of time. Contractor may propose reasonably equivalent substitute products, subject to Owner approval when required. CHANGES IN THE WORK: No change, alteration, addition, deletion, acceleration, or deviation from the agreed scope shall be binding unless authorized in writing by Owner and accepted by Contractor. Changes requested by Owner, required by authorities having jurisdiction, caused by design revisions, or resulting from unforeseen or concealed conditions shall entitle Contractor to an equitable adjustment in price and time. Emergency work performed to protect persons, property, or equipment may be completed on a time-and-material basis when prior written authorization is impractical. Owner shall not give orders to Contractor for work that is required to be performed at that time and then refuse to make payment on the grounds that a Change Order was not executed at the time the work was performed or the Owner’s representative was not authorized to order the change. 5. Owner shall provide safe, clear, and unobstructed access to all equipment, ductwork, roof areas, access panels, and other locations necessary to perform the Work. CODE, PERMIT, AND INSPECTION REQUIREMENTS: If plans, specifications or other design documents have been furnished to Contractor, Owner warrants that they are sufficient and conform to all applicable laws and building codes. Contractor is not responsible for any loss, damage or expense due to defects in plans or specifications or building code violations unless such damage results from a deviation by Contractor from what is specified. Pricing is based on codes, regulations, permit requirements, utility requirements, and interpretations in effect and reasonably known as of the proposal date. Changes in code interpretation, inspector direction, permitting requirements, utility requirements, or governmental action after the proposal date shall constitute a change in the Work. Permits, fees, engineering, testing, and special inspections are excluded unless specifically included in the scope. 8. OWNER ACCESS AND SITE CONDITIONS: Owner shall provide Contractor safe, timely, and uninterrupted access to all work areas, including reasonable staging, parking, delivery, equipment, roof, ceiling, electrical, mechanical, and utility access. Owner shall remove or protect furnishings, inventory, vehicles, and obstructions from the work area. Delays or added costs caused by restricted access, occupied spaces, security procedures, shutdown limitations, or interference by others shall be added to the Contract Sum and schedule. 9. OWNER-FURNISHED UTILITIES AND SERVICES: Unless specifically included, Owner shall provide at no cost to Contractor adequate temporary and permanent electrical power, water, lighting, heat, cooling, ventilation, sanitary facilities, internet or network access, and other utilities reasonably required to complete, test, commission, or operate the Work. 10. Contractor shall receive a reasonable extension of time and compensation for resulting increased costs. 11. SUSPENSION OR TERMINATION FOR NONPAYMENT: Contractor may suspend or terminate the Work without penalty or liability if Owner fails to make payment when due, fails to provide required access or cooperation, or otherwise materially breaches this Proposal/Contract. Contractor shall be entitled to recover all amounts due, demobilization and remobilization costs, storage costs, cancellation or restocking charges, and reasonable costs resulting from the suspension or termination. 12. PAYMENT TERMS: Unless otherwise stated, invoices are due net thirty (30) days from invoice date. Contractor may invoice for mobilization, stored materials, equipment deposits, progress payments, completed portions of the Work, approved changes, and final completion. Payment shall not be withheld due to pending warranty items, testing delayed by weather or Owner conditions, or unrelated claims. Owner shall notify Contractor in writing of any disputed amount within seven (7) days of invoice receipt and shall timely pay all undisputed amounts. 13. FINANCE CHARGES AND COLLECTION COSTS: Past-due amounts shall accrue interest at the state prejudgment interest rate applicable as of the invoice due date. Owner agrees to pay all reasonable costs of collection, including attorney fees, court costs, filing fees, lien-related costs, and collection agency fees. 14. OWNER DIRECT PURCHASES: When Owner purchases materials or equipment directly, Owner assumes responsibility for timely payment, taxes, delivery, storage, freight claims, completeness, compatibility, and manufacturer warranty administration unless specifically stated otherwise. Contractor is not responsible for delay, damage, missing components, incorrect selections, or deficiencies in Owner-purchased items. Additional labor or cost associated with Owner direct purchases shall be treated as a change in the Work. 16. EQUIPMENT DELIVERY, STORAGE, AND RISK: Owner shall provide secure, weather-protected storage for delivered materials and equipment when required. Risk of loss for Owner-owned or Owner- purchased items remains with Owner. If Contractor provides storage due to Owner delay or site conditions, reasonable storage, handling, insurance, and transportation costs shall be added to the Contract Sum. 17. WARRANTY: Contractor warrants its workmanship for one (1) year from the date Contractor’s Work is substantially complete, unless a different period is specifically stated.
