Gentlemen:
This letter is being written in connection with the delivery by the
undersigned, Independent School District No. 277 (hereinafter referred to
as the "School District"), to the Village of Spring Park (hereinafter re-
ferred to as the "Village") of a bill of sale for a school building situate on
the propety legally described as follows, to -wit:
Lot 1, Block 7, The Townsite of Langdon Park, Hennepin County,
Minnesota, according to the map or plat thereof on file or of
record in the office of the Register of Deeds in and for Hennepin
County, Minnesota.
which bill of sale has been executed by the School District and a copy of which
is attached hereto. Pursuant to our previous discussions, the School District
has executed and delivered the bill of sale to the school building and the Village
Council of the Village has accepted title to the building upon the conditions
hereinafter set forth:
1. The Village will agree to remove the one-story two -room wood frame
building from the premises' prior to September 1, 1964 at its sole cost and ex-
pense.
2. The Village will remove the foundation walls to three feet below grade
level in connection with any such removal, and will further disconnect and seal,_
according to code, all utility lines, such as sewer and water. The Village will
also fill the basement area with clean earth fill to the present grade level of
the lot and will in connection with said filling, use black dirt on the last six
inches of fill. In the event the basement area is not filled immediately after
removal of the building, the Village will protect the area by temporary fencing
or barricade.
3. The Village will sod the building site and any other areas injured as
r a result of the removal of the building, and will further re -erect any fences
removed in connection with the building removal. The Village will also remove
the present sidewalk to the school building and sod the area beneath the sidewalk.

.4. Upon removal of the building, the Village will also remove all debris
and leave the site in a neat, clean and orderly condition.
5. The Village will agree to hold the_. School'Di-strict harmless from any.
and all claims in connection with injury to persons.or.damage to property
occurring on or about the building from and after the date hereof, and will
further hold the School District harmless fromaiiy,.,such claims in connection
with the removal of the building from the School` District property. In connec-
tion therewith, the Village will obtain adequate public liability insurance
and will cause 'said building to be removed by-4 bonded mover and will be fully
responsible for said removal, and will pay for all.costs'in connectiontherewith.
If the above outlined conditions in connection with the delivery of title
to the school building meet with the approval of the Village Council, would you
please so indicate by causing a carbon copy of this letter to be signed by the
mayor of the Village.

At your request, I have enclosed the Abstract of Title to Lots 3 and 4
Pattee's Hillcrest. The abstract is comprised of three parts.
My file does not contain an abstract for Lot 5, which was acquired by the
City from the State of Minnesota following tax forfeiture proceedings. As
we discussed on Monday, it is unlikely that either the State or the City
have ever had an abstract to this property. If the City has already
entered into a Purchase Agreement for the property, it may have a problem
since the most commonly used Agreements require the Seller to provide an
abstract of title to all property to be conveyed, and the City can do it
for only two of the three lots. If the City has not already entered into a
Purchase Agreement, that language should be deleted from the standard form.
If you have questions regarding the foregoing, please feel free to contact
me.

Dear Ms. Osmonson:
The Maxi -Audit for the City Hall is being typed. Six copies
will be mailed to you, next week.
The Maxi -Audit analyzes twelve Energy Conservation Measures
(ECM's). These include the following:
1. Shut off furnace pilots during cooling season.
2. Reduce domestic water temperature.
3. Install night set -back thermostat.
4. Weather -seal basement service door.
5. Replace overhead door.
6. Insulate first floor walls.
7. Insulate basement walls above grade.
8. Install more efficient fluorescent lamps.
9. Replace windows.
10. Automatic dampers for gas flues.
11. Install north vestibule.
12. Solar heating for domestic water.
Items 1 and 2 require no capital expenditures. Items 3 - 9,
with a total modification cost of $10,290, have paybacks of
approximately ten years, or less, so might qualify for State
funding. After you get the Maxi -Audit, I suggest you check with
the Department of Public Service (DPS).
Item 11 might be desirable, from a comfort standpoint, even
though its payback is greater than ten years, and will not
qualify for State funding. Item 12, solar heating, is clearly
infeasible, with a payback of 33 years, but DPS regulations
require that this analysis be made.
Enclosed is a copy of a quotation from Regal Window &
Remodeling, Inc., regarding a number of items of work for the
City Hall. The pertinent items in the Maxi -Audit include these
prices, plus, in most cases, 10% for engineering.
Regal Window & Remodeling, Inc. quotes a total of $14,932
for replacing siding, and related work (Items 6 - 13 in their
letter). Since this is not an ECM, the siding replacement is not
included in the Maxi -Audit. Spring Park should consider having
this work done at such time as the window replacements, wall
insulation, and vestibule work is accomplished.
I understand that a representative of Mon -Ray Windows, Inc.
was at the City Hall, recently, to accomplish an air leakage
analysis for the windows. The representative told me he would
forward the results, along with a quotation for new windows. As
soon as I receive this information, I will forward it to you.

NOTICE IS HEREBY GIVEN that the City Administrator of the City of
Spring Park, Minnesota, will receive sealed bids until 10:00
o'clock A.M., Central Standard Time, on June 15, 1989, and then
opened publicly at the Spring Park City Hall, 4349 Warren Avenue,
by the City Administrator and Engineer, tabulated, and considered
by the City Council at the June 19, 1989 Council Meeting for the
renovation remodeling of the City Hall Building. Said work
located within the corporate limits of the City of Spring Park,

Each bidder shall submit with his proposal a certified check
or bidder's bond made payable to the City of Spring Park in the
amount of Five Percent (5%) of his Total Bid. No bidder may
withdraw his bid for at least thirty,(30) days after the
scheduled closing time.for the receipt of bids. The City
reserves the right to reject any or all bids and to waive

Ladies and Gentlemen:
I am writing this letter to inform the City Council that the renovation
contractor, Ron Graves Landscaping, will not be able to complete the project
within the contract completion date of October 1, 1989. The reason being,
Viking Siding ran out of soffit board material, see attached letters. These
boards will not be available until mid -October. Ron Graves Landscaping Co. is
requesting that the City waive the $100 a day liquidated damage provision in the
specifications.
It is my recommendation to the City Council to waive liquidated damages based
on the following condition:
1) That Ron Graves Landscaping accepts and understands that the City will
make the final project payment of approximately $25,000 when the
soffit boards are installed, and all check list items are completed.

they have run short of soffit material to complete the project. Their supplier will
not be recieving a shipment until the 1ST week of October. For this reason we would
like to request an extension of time to complete the project. Barring delays -on material
delivery completion should be around October 15th, 1989.

Dear Duane:
Enclosed for your review is the project work summary to date with the
additional work items and deducts approved by the City.
1. Rear door canopy - Change in contract + $1,169.20.
2. Painting of planters at front entrance - change in contract + $300.00.
3. Additional electric to install rear entrance double flood light to
existing timer switch. Reconnect canopy light to new switch. Change
in contract + $252.00.
4. Four hundred dollar deduct for City providing light fixtures.
5. Negotiate a deduct for not constructing a threshold footing foundation
in basement garage.
Again, a reminder that the job must be completed October 1, 1989 or the
City Council will authorize a $100 a day charge for liquidated damages.

Sir,
Enclosed are the signed contracts, performance bonds and
insurance papers. we have a slight difficulty with the
completion date of September 1, 1989. We cannot order the siding
material and window sash units until receipt of signed contracts.
Delivery on the window units is a minimum of 4 to 6 weeks. This
brings us to the middle or end of August. Following delivery of
the window units we need to allow a minimum of 2 to 3 weeks of
installation of the windows and siding. For proper installation
the sash units should be installed first, with the siding
material wrapped up to the windows. For this reason we would
like to request a four week time extension until the 1st of
october,1989.
The following are the hourly rates you requested for any
necessary changes on the project. These rates include our
standard 12% mark-up on our sub -contractor rates. These rates
are labor only, plus material costs.
1) Ron Graves Landscape contractors $30.00 per man hour.
2) Viking Aluminum $35.00 per man hour.
3) Major Electric $60.00 per man hour 2 hr min.
4) Hoffman Decorating $25.00 per man hour.
5) Alco construction $27.00 per man hour.

Re: Ceiling Tile Replacement
Dear Sirs:
Kievet Construction Services appreciates the opportunity to submit this
proposal for the following work:
1] Remove and dispose of existing 2' x 4' ceiling tile in office area
and meeting room.
2] Install new 2' white cross T's.
3] Paint existing ceiling grid to match new white T's.
41 Replace 20 fluorescent light lenses.
51 Install new Celotex MRF-154 2' x 2' x 5/8" Reveal Edge ceiling tiles.
TOTAL PRICE FOR ABOVE WORK-------------------------$1,600.00
(One Thousand Six Hundred and No/100)
Note: This price includes changing out the ceiling tile only. Any minor
re -anchoring of existing ceiling grid is included under this proposal.
However, there is a chance, as there is with any project of this type,
that upon removal of the ceiling tile a condition my exist which will
require additional work before the new tiles may be installed. This
condition will be brought to the immediate attention of the city as to
the course of action which is to be taken. We are in no way saying that
any unusual conditions will be found, but it has been our experience in
the past that these conditions may occur.
